Terms of Service
Effective September 24, 2026
Restoq is software for resellers and distributors. Restoq is not a party to sales between users or on marketplaces, does not hold sale proceeds, and does not take a commission. You are responsible for your listings, your products and your compliance with marketplace rules.
1. Agreement
These Terms of Service ("Terms") are an agreement between you and Chase McLean, doing business as Restoq ("Restoq," "we," "us"). They apply to getrestoq.com, the Restoq waitlist, and the Restoq web application and storefronts (together, the "Service"). By joining the waitlist, creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service.
3. Waitlist and early access
Joining the waitlist does not guarantee access. Access is offered in batches at our discretion. Features described on the website are planned and may change, launch later or not launch. Early-access and pre-release features may contain errors and may be changed or removed.
4. Accounts
You must provide accurate information and keep it current. You are responsible for keeping your login secure and for all activity under your account, including activity by team members you invite. Notify us promptly at chasepmclean@gmail.com if you suspect unauthorized use.
5. Distributor storefronts and lot sales
Restoq provides software that lets distributors and resellers list and sell goods. Restoq is not a marketplace operator, auctioneer, broker or agent, and is not a party to any sale between users. Sellers are solely responsible for:
- The accuracy of lot descriptions, manifests, photos, quantities and condition grades.
- Having the right to sell the goods, and the goods being legal to sell.
- Pricing, shipping, delivery, returns, refunds, claims and customer service.
- Collecting and remitting taxes, including sales tax, and collecting resale or exemption certificates where required.
Buyers are responsible for reviewing lots before purchase. Disputes about a sale are between the buyer and seller. Restoq may, but is not required to, help resolve them.
6. Payments
Payments made through Restoq are processed by Stripe. Users who accept payments must create a Stripe account and agree to Stripe's terms, including the Stripe Connected Account Agreement. Payments go directly to the seller's Stripe account. Restoq does not hold, receive or control sale proceeds. Payments made outside Restoq, such as by wire or check, are solely between the buyer and seller, and marking an order paid is the seller's responsibility.
7. Marketplace connections
When you connect a marketplace account such as eBay or Depop, you authorize Restoq to access that account and act on your behalf within the permissions you approve, including creating, updating and ending listings and reading order information.
- You must follow the rules and policies of every marketplace you connect.
- Marketplaces are independent third parties. Restoq is not responsible for their actions, outages, fees, policy changes, API changes, or any restriction or suspension of your marketplace accounts.
- Auto-delist is provided on a best-effort basis. It depends on marketplaces delivering order information and accepting requests, which can be delayed or fail. Restoq cannot guarantee that a listing will be ended before an item sells again. You remain responsible for monitoring your orders and handling any duplicate sale.
8. AI-generated content
Restoq can generate listing titles, descriptions, item details and column mappings using AI. Generated content may be inaccurate or incomplete. You are responsible for reviewing and correcting all generated content before publishing it or relying on it, and for making sure your listings are accurate and comply with marketplace rules.
9. Subscriptions and fees
- Paid plans are billed monthly in advance through Stripe and renew automatically until canceled.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded, except where required by law.
- We will give at least 30 days' notice by email before changing the price of your plan.
- Restoq does not take a commission on sales. Payment processing fees charged by Stripe and fees charged by marketplaces are separate and are your responsibility.
- Free, trial or design-partner access may be changed or ended with notice.
10. Your content
You keep ownership of the content you add to Restoq, including item data, photos, manifests and listings ("Your Content"). You grant Restoq a non-exclusive, worldwide, royalty-free license to host, store, process, copy, display and transmit Your Content as needed to operate and improve the Service, including sending it to the marketplaces and storefronts you choose. You confirm that you have the rights needed to grant this license, including rights to any photos you upload.
11. Acceptable use
You may not use the Service to:
- Sell or list counterfeit, stolen, recalled, illegal or prohibited goods.
- Infringe anyone's intellectual property or other rights.
- Misrepresent goods, their condition or their origin.
- Send spam or unsolicited messages.
- Access the Service by automated means other than features we provide, or copy, reverse engineer or interfere with it.
- Get around usage limits, access controls or security measures.
- Break any applicable law or regulation.
12. Reports and analytics
Profit, cost allocation, sell-through and other figures are estimates based on the data available to Restoq. They are provided for information only and are not tax, accounting, legal or financial advice.
13. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or end your access if you break these Terms, create risk or legal exposure for Restoq or others, or if we stop offering the Service. Where reasonable, we will give notice and a chance to export your data. Sections that by their nature should survive termination will survive, including sections 5, 8, 10, 12 and 14 through 18.
14. Restoq's property
The Service, including its software, design, and the Restoq name and logos, belongs to Restoq and is protected by law. These Terms do not give you any right to use the Restoq name or logos. If you send us feedback or suggestions, we may use them without any obligation to you.
15. Third-party services
The Service works with third-party services such as marketplaces, Stripe and hosting providers. Your use of those services is governed by their own terms, and Restoq is not responsible for them.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. RESTOQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT LISTINGS, SYNCING OR DELISTING WILL ALWAYS WORK AS EXPECTED.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RESTOQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, DATA OR GOODWILL, INCLUDING LOSSES FROM DUPLICATE SALES, MARKETPLACE ACCOUNT ACTIONS OR TRANSACTIONS BETWEEN USERS. RESTOQ'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID RESTOQ IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
18. Indemnification
You agree to defend, indemnify and hold Restoq harmless from claims, losses and expenses, including reasonable attorneys' fees, arising from Your Content, the goods you list or sell, your transactions with other users or buyers, your use of connected marketplaces, or your breach of these Terms or the law.
19. Governing law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. Any dispute relating to these Terms or the Service will be brought only in the state or federal courts located in Arizona, and both parties consent to their jurisdiction.
20. Changes to these Terms
We may update these Terms. Changes will be posted on this page with a new effective date. For material changes, we will notify account holders by email at least 30 days before they take effect. Continuing to use the Service after changes take effect means you accept them.
21. General
These Terms and the Privacy Policy are the entire agreement between you and Restoq about the Service. If any part is found unenforceable, the rest remains in effect. Failing to enforce a right is not a waiver of it. You may not transfer these Terms without our consent. We may transfer them in connection with a sale, merger or reorganization of Restoq, including to a company formed to operate Restoq.
